ACTIVE MEMBERSHIP – Shall be a provider of last resort of basic service, as set forth in Nevada Administrative Code (NAC) 704.6802. Each Active Member shall be entitled to one (1) position on the Board of Directors of the Association and will be entitled to one (1) member vote. Active Member companies owned or controlled by a common party, such as, but not limited to a holding company, shall be entitled to have only one (1) member on the Board of Directors to represent all member companies commonly owned or controlled. INDUSTRY MEMBERSHIP – Shall be all other telecommunications providers other than a provider of last resort of basic service as defined in the Nevada Administrative Code (NAC) 704.6802. Industry Members shall be entitled to one (1) position on the Board of Directors for every five (5) Industry Members. When Industry Members have one member, one (1) Board of Directors’ position will be available. Upon the acceptance of each fifth Industry Member thereafter, one additional Board of Directors’ position will become available. Should there be a reduction in the number of Industry membership, the number of positions on the Board of Directors will decline in the same manner as provided for increases. Each Board of Directors’ position will be entitled to one (1) vote with Industry Members being limited to a maximum of five (5) Board of Directors’ positions. ASSOCIATE MEMBERSHIP – Shall be persons, firms, associations, companies or corporations engaged in the manufacture, distribution, provision or sale of telecommunications equipment, material or supplies and/or the provision of services to, or on behalf of Active or Industry Members. Associate Members shall be entitled to one (1) Board of Directors’ position and one (1) member vote representing all Associate Members.
